Pinnacli provides search engine optimization (SEO), local SEO, content strategy, link building, and related digital marketing services ("Services"). The specific scope, deliverables, and pricing of Services will be outlined in a separate service agreement or statement of work between Pinnacli and the client.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement to use our website and Services. By using our website, you represent and warrant that you meet these requirements.

3. User Accounts and Submissions

When you submit information through our website — including audit requests, contact forms, or other inquiries — you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of any account credentials associated with our Services.

4. No Guarantee of Results

SEO involves inherent uncertainty. We do not and cannot guarantee specific search engine rankings, traffic levels, or revenue outcomes. Search engine algorithms are controlled by third parties (including Google) and are subject to change without notice. Our commitments are to our process, methodology, and transparent reporting — not to specific ranking positions.

Any projections, estimates, or case study results presented on our website reflect past performance and are not guarantees of future results for any particular client.

5. Client Responsibilities

To enable us to deliver Services effectively, clients agree to:

• Provide timely access to website platforms, analytics accounts, and other necessary tools
• Review and approve deliverables within reasonable timeframes
• Not engage in practices that violate search engine guidelines (e.g., purchasing backlinks from link farms, cloaking, keyword stuffing)
• Provide accurate and truthful information about their business

6. Payment Terms

Payment terms, including fees, billing cycles, and accepted payment methods, are specified in each client's individual service agreement. Unless otherwise stated in writing, our services are billed on a month-to-month basis with no long-term contract required. Late payments may result in suspension of Services.

7. Intellectual Property

Client content. You retain ownership of all content, data, trademarks, and intellectual property you provide to us in connection with our Services.

Pinnacli content. All content on our website — including text, graphics, logos, design elements, and code — is the property of Pinnacli LLC and is protected by United States copyright and trademark laws. You may not reproduce, distribute, or create derivative works from our website content without our prior written consent.

Deliverables. Upon full payment, clients own all SEO content, reports, and deliverables created specifically for them. Pinnacli retains the right to use anonymized, aggregated performance data for case studies and marketing purposes, unless the client objects in writing.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the engagement, including strategies, analytics data, pricing, and business plans. This obligation survives the termination of the service relationship.

9. Termination

Either party may terminate a service engagement with 30 days' written notice, unless otherwise specified in the service agreement. Upon termination:

• The client is responsible for payment for all Services rendered through the termination date
• We will provide the client with all login credentials, content, and data created on their behalf
• No content, access, or data will be withheld or held hostage

10. Limitation of Liability

To the maximum extent permitted by applicable law, Pinnacli LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or Services, including but not limited to loss of revenue, loss of data, or loss of business opportunities.

Our total aggregate liability for any claims arising from or related to our Services shall not exceed the total fees paid by you to Pinnacli during the six (6) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pinnacli LLC, its officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your use of our Services.

12. Third-Party Links

Our website may contain links to third-party websites or services that are not owned or controlled by Pinnacli. We are not responsible for the content, privacy policies, or practices of any third-party sites. You access third-party links at your own risk.

13. Disclaimer of Warranties

Our website and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Governing Law and Dispute Resolution

Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.

16. Severability
